Terms of Use

1. Organization Responsibility

Organizations using Fundraiser Portal are solely responsible for ensuring their fundraising activities are lawful in every jurisdiction where they operate, advertise, or accept participants. This includes, where applicable, charitable solicitation registration, gaming or raffle licensing, nonprofit compliance, tax treatment, donor disclosures, event rules, school or league permissions, and payment-related obligations.

2. No Legal or Regulatory Advice

Fundraiser Portal and Sophie's Potluck do not provide legal, tax, or regulatory advice. Use of the platform does not constitute approval, licensing, or confirmation of compliance under any federal, state, or local law.

3. Representations by Organization

By creating and operating an organization or fundraiser on the platform, you represent and warrant that your organization will obtain and maintain all licenses, registrations, permits, approvals, and disclosures required for your fundraising activity. If you are acting on behalf of an organization, you further represent that you have the authority to bind that organization to these terms.

4. Indemnification

You agree to defend, indemnify, and hold harmless Sophie's Potluck, Fundraiser Portal, and their respective owners, officers, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your organization's fundraising activities; (b) your failure to obtain required licenses, registrations, or permits; (c) your violation of any applicable federal, state, or local law; or (d) any misrepresentation made by your organization on or through the platform. If an organization operates without required approvals, misuses the platform, or violates applicable law, the organization is solely responsible for the resulting claims, penalties, fines, losses, and liabilities.

5. Platform Rights

Fundraiser Portal and Sophie's Potluck reserve the right to limit, suspend, or terminate access where there is a compliance concern, misuse risk, or reason to believe a fundraiser may not be lawful. Exercise of this right does not create any obligation to monitor, review, or approve fundraising activities conducted through the platform.

6. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these terms or your use of the platform that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its then-current Commercial Arbitration Rules. Arbitration shall take place in Washington, Pennsylvania. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration against Sophie's Potluck or Fundraiser Portal.

7. Governing Law

These terms and any disputes arising from your use of Fundraiser Portal or Sophie's Potluck shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Washington County, Pennsylvania for any matters not subject to arbitration.

Acceptance

By checking the acceptance box during organization setup, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use, including the provisions regarding legal responsibility, indemnification, platform rights, dispute resolution, and governing law. If you are accepting on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

Privacy Policy

1. Information We Collect

We may collect information you provide directly to us, including account details, organization details, fundraiser information, contact details, and support or product request submissions.

2. How We Use Information

We use information to operate the platform, authenticate users, process and manage fundraiser workflows, provide customer support, improve product features, maintain security, and communicate important service or compliance information.

3. Sharing of Information

We may share information with service providers and related platform services, including Sophie's Potluck, where necessary to provide fundraiser functionality, payment-related workflows, hosting, analytics, customer support, fraud prevention, or legal compliance.

4. Security and Access Controls

We use account verification, trust review, rate limiting, and related safeguards to help protect platform data and connected services. However, no method of transmission or storage is guaranteed to be completely secure.

5. Retention

We may retain account, organization, fundraiser, and operational records for as long as reasonably necessary to provide the service, maintain compliance records, resolve disputes, enforce agreements, and meet legal or business requirements.

6. Contact and Updates

We may update this Legal page from time to time. Continued use of the platform after an update may be subject to acceptance of the updated version. If you have questions about privacy or legal terms, use the contact method your organization was provided during onboarding or support communication.
